Terms of Service

Welcome to CalcAuthor ("CalcAuthor," "we," "us," or "our"), a product of UzBur Tech Solutions, a division of UzBur Consulting Inc. These Terms of Service ("Terms") govern your access to and use of the CalcAuthor cloud app, including any associated websites, features, and services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility and Accounts

1.1 You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account and use the Service.

1.2 You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorized use of your account.

1.3 You agree to provide accurate, current, and complete information when creating an account and to keep that information up to date.

2. Description of the Service

2.1 CalcAuthor is a web-based platform that allows users to author engineering calculations and reports in a unified document editor, including live, unit-aware calculation blocks (with support for plots, calculus, matrices, and equation solvers) and report formatting features (headers, footers, cover pages, tables of contents, images, tables, and related content); to export finished documents to PDF; and, for Team-plan subscribers, to collaborate through shared folders, document sharing, and role-based access across a team.

2.2 We may add, modify, or remove features of the Service at any time, and we may update these Terms accordingly.

3. Professional Responsibility and No Warranty on Calculation Accuracy

This section is important. Please read it carefully.

3.1 CalcAuthor is a software tool for authoring and organizing engineering calculations and reports. It is not a substitute for professional engineering judgment, independent verification, or applicable codes, standards, and regulations.

3.2 You are solely responsible for verifying the accuracy, completeness, and appropriateness of any calculation, formula, unit conversion, result, or report generated using the Service, and for ensuring that any engineering work product complies with applicable professional standards, codes, laws, and licensing requirements in your jurisdiction.

3.3 CalcAuthor makes no warranty, express or implied, that the Service is free of errors, that calculations will be accurate under all circumstances, or that the Service is fit for any particular engineering application. You acknowledge that software errors, user input errors, or unit/formula misconfigurations can occur, and that professional and independent review of all engineering outputs remains your responsibility.

3.4 Nothing in the Service constitutes engineering advice, and CalcAuthor is not acting as your engineer, consultant, or professional advisor of any kind.

4. User Content

4.1 "User Content" means any calculations, formulas, variables, text, images, tables, documents, or other content you create, upload, or store using the Service.

4.2 You retain all ownership rights in your User Content. By using the Service, you grant CalcAuthor a limited, non-exclusive license to host, store, process, and display your User Content solely as necessary to provide and maintain the Service to you.

4.3 You represent that you have all necessary rights to any content you upload (including images and third-party material) and that your use of the Service does not infringe the intellectual property or other rights of any third party.

4.4 We do not claim ownership of your engineering work product, calculations, or reports.

5. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
  • Attempt to gain unauthorized access to the Service, other users' accounts, or underlying systems;
  • Interfere with or disrupt the integrity or performance of the Service;
  • Upload malicious code, or content that infringes the rights of others;
  • Use the Service to generate reports or calculations intended to misrepresent professional qualifications, licensure, or authorship;
  • Reverse engineer, decompile, or attempt to extract the source code of the Service, except where permitted by law.

6. Subscription, Fees, and Billing

6.1 Certain features of the Service require a paid subscription. Current plans and pricing are described on our Pricing page. Every new subscription includes a 7-day free trial. No payment method is required to start the trial; if you don't add one before the trial ends, the subscription cancels automatically at no charge. If you do add a payment method, billing begins automatically when the trial ends.

6.2 Fees are non-refundable except as required by law or as otherwise stated at the time of purchase.

6.3 We may change our pricing with reasonable advance notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

6.4 An Admin can upgrade, downgrade, update payment details, or cancel at any time from the billing portal in account settings. If billing lapses — whether from a canceled trial or a failed payment — access is reduced rather than data deleted: on the Individual plan, the account drops to read-only access to its own documents; on the Team plan, non-Admin members are paused immediately, and the Admin's account stays active to manage billing, but document editing pauses for everyone until the subscription is restored.

7. Intellectual Property

7.1 The Service, including its software, design, branding, and underlying technology, is owned by UzBur Tech Solutions, a division of UzBur Consulting Inc. and protected by applicable intellectual property laws. These Terms do not grant you any rights to CalcAuthor's trademarks, logos, or brand assets.

7.2 Except for your User Content, all rights, title, and interest in the Service remain with UzBur Tech Solutions, a division of UzBur Consulting Inc.

8. Data Storage, Availability, and Backups

8.1 We take reasonable measures to maintain the availability, security, and integrity of the Service and your stored data, but we do not guarantee uninterrupted or error-free operation.

8.2 A document you delete is moved to a Recycle Bin, where it can be restored within 30 days; after that it is purged automatically and cannot be recovered. Beyond the Recycle Bin, you are responsible for maintaining independent backups of critical engineering documents and calculations. CalcAuthor is not liable for any loss of data resulting from service interruptions, account termination, technical failure, or other causes.

9. Termination

9.1 You may stop using the Service and close your account at any time by contacting us.

9.2 We may suspend or terminate your access to the Service if you violate these Terms, fail to pay applicable fees, or engage in conduct that we reasonably believe is harmful to the Service, other users, or third parties.

9.3 Upon termination, your right to use the Service ceases immediately. We may, but are not obligated to, provide you with an opportunity to export your User Content prior to deletion, subject to applicable data retention practices described in our Privacy Policy.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF RESULTS. CALCAUTHOR DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CALCAUTHOR AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR ENGINEERING/PROFESSIONAL LIABILITY ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING ANY ERRORS IN CALCULATIONS, REPORTS, OR EXPORTED DOCUMENTS, EVEN IF CALCAUTHOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. CALCAUTHOR'S TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO CALCAUTHOR IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless CalcAuthor and its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, your violation of these Terms, or your violation of any applicable law or third-party right, including any claim arising from reliance on engineering calculations or reports produced using the Service without appropriate independent professional review.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (such as by email or in-app notice) before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict-of-law principles, unless otherwise required by applicable local law.
